Andorra Targets 2,777 Inactive Firms for Administrative Dissolution

The Andorran government has published a list of 2,777 commercial companies facing administrative dissolution for showing no signs of activity, as detailed in today's Official Bulletin of the Principality of Andorra (BOPA).

These firms failed to comply with at least two obligations over two consecutive fiscal years, including depositing annual accounts, submitting required tax declarations, or identifying ultimate beneficial owners. After Law 17/2026 took effect on 14 July under the Ministry of Economy, companies in breach had one month to regularise their status. With that period expired, the Department of Legal and Economic Registers identified these cases based on consistent inactivity indicators.

Administrators of the affected companies now have 10 working days, starting tomorrow, to file objections and submit supporting documents to challenge the process. The government stressed that the procedure aims to separate firms with genuine operations from those that have effectively stopped functioning without meeting mercantile duties.

If inactivity is confirmed, dissolution will proceed without liquidation. Responsible administrators face a one-year ban from holding administrative or managerial roles in any Andorran-registered commercial company, though they can provide evidence to avoid liability.

The Companies Register currently holds 18,415 entities. Officials described the move as a step to verify active businesses, boost transparency, and align with international standards. No objections have been reported at this stage.
